MASIMO CORPORATION (NASDAQ:MASI) Files An 8-K Submission of Matters to a Vote of Security Holders

Item 5.07(d) of Form 8-K, the Companys decision as to how
frequently the Company will conduct future stockholder advisory
votes regarding named executive officer compensation. Except as
set forth herein, no modifications have been made to the Original
8-K.

Submission of Matters to a Vote of Security Holders
(d) At the Annual Meeting, the Companys stockholders voted on,
among other matters, an advisory proposal concerning the
frequency of future advisory votes on named executive officer
compensation. As reported in the Original 8-K, the advisory vote
was in favor of annual frequency. In light of the Companys prior
practice of annual advisory votes on named executive officer
compensation and the vote of the stockholders, the Board of
Directors approved this shareholder advisory recommendation on
June 27, 2017, and the Company will continue the practice of
holding the stockholder advisory votes regarding named executive
officer compensation annually.
