On February 22, 2018, LHC Group, Inc., a Delaware corporation (the “Company”), and Almost Family, Inc., a Delaware corporation (“Almost Family”), issued a joint press release announcing that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (“HSR Act”), with respect to the proposed business combination of the Company and Almost Family, has expired, satisfying one of the important conditions to the closing of the pending transaction. A copy of the joint press release is attached as Exhibit 99.1 to this report and incorporated herein by reference.
