(b)    Terry Stinson, a director of Lennox International Inc. (the “Company”) since 1998, retired at the conclusion of the Company’s Board of Directors’ meeting on Friday, March 17 because of the mandatory age-based retirement provisions of the Company’s Corporate Governance Guidelines.
