Submission of Matters to a Vote of Security Holders.
On May 9, 2017, L3 Technologies, Inc. (the Company) held its 2017
Annual Meeting as described in the definitive proxy statement for
the Annual Meeting filed on March 27, 2017. A quorum was present
at the meeting as required by the Companys Amended and Restated
Bylaws. The final results of voting for each matter submitted to
a vote of shareholders at the meeting are as follows:
Proposal 1 Election of Directors
The following ten directors were elected to the Board of
Directors of the Company to serve as directors until the 2018
Annual Meeting of Shareholders and until their successors have
been duly elected and qualified.

As described above, the shareholders voted, in an advisory,
non-binding vote, in favor of having a shareholder vote to
approve the compensation of the Companys named executive officers
every year. In light of such vote, and consistent with the
Companys recommendation, the Companys Board of Directors
determined that it currently intends to include an advisory,
non-binding vote to approve the compensation of the Companys
named executive officers every year until the next required vote
on the frequency of shareholder votes on the compensation of the
Companys named executive officers.
