On June20, 2017, Korn/Ferry International (the Company) issued a
press release announcing its fourth quarter fiscal year 2017

Item8.01 Other Events.

On June20, 2017, the Board of Directors of the Company declared a
cash dividend of $0.10 per share that will be paid on July14,
2017 to holders of the Companys common stock of record at the
close of business on June30, 2017. The declaration and payment of
future dividends under the quarterly dividend policy will be at
the discretion of the Board of Directors and will depend upon
many factors, including the Companys earnings, capital
requirements, financial conditions, the terms of the Companys
indebtedness and other factors that the Board of Directors may
deem to be relevant. The Company may amend, revoke or suspend the
dividend policy at any time and for any reason at its discretion.
