(d) On June 8, 2017, the Board of Directors of Kellogg Company (the “Company”) elected Carter A. Cast as director, with an initial term to begin June 15, 2017. Mr. Cast’s initial term expires at the 2018 annual meeting of shareowners. Mr. Cast will join the Social Responsibility and Public Policy Committee and Audit Committee.
Mr. Cast’s compensation will be similar to other non-employee directors of the Company, which is described in the Company’s proxy statement filed with the SEC on March 8, 2017.
