Arrangements of Certain Officers.

On January6, 2017, Kadmon Holdings, Inc. (the Company) and
Zhenping Zhu, M.D., Ph.D., the Companys Executive Vice President,
Biologics, agreed that, effective immediately, his employment
with the Company will terminate.
