Item 5.07 – Submission of Matters to a Vote of Security Holders.

On May 16, 2017, iStar Inc. (the “Company”) held its 2017 Annual
Meeting of Stockholders in New York, New York for the purpose of:
(i) electing six directors to its board of directors, (ii)
ratifying the appointment of PricewaterhouseCoopers LLP as its
independent registered public accounting firm for the fiscal year
ending December 31, 2017, (iii) approving, on an advisory basis,
the compensation of its named executive officers and other named
officers, (iv) approving a resolution, on an advisory basis, giving
stockholders an advisory vote on the compensation of its named
executive officers every year and (v) voting, on an advisory basis,
on a proposal submitted by a stockholder. The final voting results
for each of the proposals submitted to a vote of stockholders at
the annual meeting are set forth below.
Proposal 1. Election of Directors:>At the annual meeting, six
directors were elected for terms expiring in 2018. For each
nominee, the numbers of votes cast for, votes withheld and broker
non-votes were as follows:
