On November 26, 2018, Barbara Bodem informed the Board of Directors of the Company (the “Board”) of her decision to resign from the Board, effective immediately. Ms. Bodem’s decision to resign was due to her recent professional appointment and not due to any disagreement with the Company. As provided in the Company’s Code of Regulations, the Board intends to act promptly to reduce the total number of Directors to eight (8) in number to close the vacancy created by Ms. Bodem’s resignation.
