Item 1.01.
Entry into a Material Definitive Agreement.
On May 4, 2017, International Isotopes Inc. (the Company) entered
into a First Modification to Cobalt-60 Pellet Supply Agreement
(the Amendment) with Nordion (Canada) Inc., as general partner of
and on behalf of Nordion Sterilization LP (Nordion), to which the
Cobalt-60 Pellet Supply Agreement, dated April 7, 2015, between
the Company and Nordion (the Agreement) was amended to, among
other things, reduce the amount of cobalt-60 pellets to be
supplied under the Agreement and modify certain pricing terms,
commitment fees and progress payments to be made under the
Agreement. The Amendment also modified the Agreement to permit
Nordion to terminate the Agreement if certain amounts of
cobalt-60 pellets are not supplied by the Company under the
Agreement over a two year period.
