Item 5.02. Departure of Directors or Certain Officers; Election
of Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.

On May 22, 2017, Michael W. Brown informed Insperity, Inc. (the
Company) of his decision to retire from the board of directors of
the Company (the Board) at the Companys 2017 annual meeting of
stockholders, which is scheduled to be held on June 16, 2017. Mr.
Brown also serves as Chair of the Companys Compensation Committee
and is a member of the Companys Nominating and Corporate
Governance Committee. Mr. Browns decision to retire is not due to
any disagreements with the Company on any matter related to its
operations, policies or practices. Mr. Brown has served on the
Board since 1997.
