Entry into a Material Definitive Agreement.

Reference is made to Item 5.02 for information on a Separation Agreement and General Release entered into by Innodata Inc. (the “Company”) and Mr. O’Neil Nalavadi on January 17, 2018.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) On January 17, 2018 the Company and Mr. O’Neil Nalavadi entered into a Separation Agreement and General Release (the “Separation Agreement”) in connection with the termination of Mr. Nalavadi’s employment on December 1, 2017. to the Separation Agreement, in consideration for a general release and other obligations, Mr. Nalavadi will receive $280,000 in severance payable over a twelve (12) month period and payment of his COBRA premiums through November 30, 2018.
