Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On June 21, 2017, the Company’s Board of Directors approved the Compensation Committee’s recommendation to extend the employment contracts of Chief Executive Officer John E. Peck, Chief Operating Officer Michael L. Woolfolk and Chief Financial Officer Billy C. Duvall for a period of one additional year. As amended, the employment contracts will expire on June 30, 2020. The Board of Directors made no changes to the current base salaries of Messrs. Peck, Woolfolk and Duvall as disclosed in the Company’s definitive proxy statement of the 2017 Annual Meeting of Stockholders.
