On October 1, 2018, HomeTown Bankshares Corporation (“HomeTown”) and American National Bankshares Inc. (“American National”) issued a joint press release announcing the execution of an Agreement and Plan of Reorganization, dated as of October 1, 2018 (the “Merger Agreement”), to which HomeTown will merge with and into American National. A copy of the joint press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.

In connection with the proposed merger, American National will file with the Securities and Exchange Commission (the “SEC”) a registration statement on Form S-4 to register the shares of American National common stock to be issued to the shareholders of HomeTown. The Bank is engaged in general retail and commercial banking business. The Bank offers a range of banking services to small and medium-size businesses, real estate investors and developers, private investors, professionals and individuals. Its services include safe deposit boxes, traveler’s checks, direct deposit of payroll and social security checks, automatic drafts for various accounts, overdraft protection, check cards, credit cards and merchant card services. The Bank offers a range of short-to-medium term commercial and personal loans. Its investment portfolio includes the United States Government agency securities, mortgage-backed securities and municipal securities. The Bank’s primary source of funds is deposit accounts. It operates over six full service branches, approximately seven automated teller machines and a mortgage office.
