Hilltop Securities Inc., an indirect wholly owned subsidiary of Hilltop Holdings Inc., entered into a Settlement Agreement with the Rhode Island Commerce Corporation. Under the Settlement Agreement, Hilltop Securities Inc. has agreed to pay $16.0 million to settle any and all claims in connection with The Rhode Island Economic Development Corporation Job Creation Guaranty Program Taxable Revenue Bond (38 Studios, LLC Project) Series 2010, including the litigation related thereto. The Settlement Agreement contains no admission of liability or wrongdoing and remains subject to court approval.
