Item 5.07 Submission of Matters to a Vote of Security
Holders.
Hillenbrand,Inc. held its annual meeting of shareholders on
February22, 2017. Matters voted upon at the meeting were as
follows:
(1) the election of three members to the Companys Board of
Directors;
(2) the approval, by a non-binding advisory vote, of the
compensation paid by the Company to its Named Executive Officers;
(3) the approval, by a non-binding advisory vote, of the
frequency of future Say on Pay Votes; and
(4) the ratification of the appointment of PricewaterhouseCoopers
LLP as the Companys independent registered public accounting firm
for fiscal year 2017.
The final results of the votes taken at the meeting were as
follows:

Consistent with the greatest number of votes cast with respect
to this proposal, the Companys Board of Directors has
determined that the Company will hold an advisory vote on the
compensation of the Companys Named Executive Officers every
year until the next advisory vote on the frequency of
shareholder votes on the compensation payable to the Companys
Named Executive Officers is required to Section14A of the
Securities Exchange Act of 1934, as amended, and the rulesand
regulations promulgated thereunder.
