Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 11, 2019, the Board of Directors of Graphic Packaging Holding Company (the “Company”) elected Laurie Brlas to the Board of Directors, effective as of January 11, 2019. Ms. Brlas will serve as one of the Class III Directors, whose terms expire in 2019, and will also serve as a member of the Nominating and Corporate Governance Committee and the Compensation and Management Development Committee. Ms. Brlas is an independent director of the Company and is not party to any transaction requiring disclosure to Item 404(a) of Regulation S-K promulgated under the Securities Exchange Act of 1934, as amended.

The Europe Paperboard Packaging includes paperboard packaging folding cartons sold primarily to CPG companies serving the food, beverage and consumer product markets in Europe. The Corporate and Other segment includes the Pacific Rim operating segment.
