On March 29, 2017,  Glenn S. Schafer, a Class III director of Genesis Healthcare Inc. (the “Company”), notified the Company’s Board of Directors (the “Board”) of his decision not to stand for re-election when his term expires at the Company’s 2017 Annual Meeting of Stockholders to  be held on June 7, 2017.  Mr. Schafer will continue to serve on the Board until the annual meeting.  Mr. Schafer’s decision not to stand for re-election was the result of his desire to reduce his travel and business commitments and was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
