Arrangements of Certain Officers.

(b) On December 13, 2016, Kathryn V. Marinello, a director of
General Motors Company (the Company) since 2009, was appointed
President and Chief Executive Officer of Hertz Global Holdings
Inc., effective January 3, 2017. In view of this opportunity and
her added responsibilities, on December 19, 2016, Ms. Marinello
notified the Company of her decision to resign from the Companys
Board of Directors effective immediately.
A copy of the Companys press release announcing Ms. Marinellos
resignation is attached hereto as Exhibit 99.1 and is
incorporated herein by reference.
