Item 1.01.

Entry into a Material Definitive Agreement.

On March 16, 2017, FS Investment Corporation (the Company), the
several banks and other financial institutions or entities from
time to time party thereto, ING Capital LLC, as administrative
agent, and certain subsidiary guarantors of the Company entered
into a second amendment (the Amendment) to the Senior Secured
Revolving Credit Agreement, dated as of April 3, 2014 (as amended
from time to time, the Credit Agreement).

The Amendment, among other things, (i) increases the lenders
commitments under the Credit Agreement to $327,500,000, (ii)
extends the term of the revolving period to March 16, 2020 and
the final maturity date to March 16, 2021, (iii) increases the
size of the accordion provision to permit increases to the
lenders commitments under the Credit Agreement up to $600,000,000
and (iv) decreases the Applicable Margin (as defined therein) to
1.25% with respect to any ABR Loan (as defined therein) and 2.25%
with respect to any Eurocurrency Loan (as defined therein). In
addition, the Company paid certain fees in connection with the
Amendment.
