(b) On December 19, 2016, Paula Canaday Bowman, a member of the Board of Directors (the “Board”) of Four Oaks Fincorp, Inc. (the “Company”), notified the Company of her decision to retire from the Board for personal reasons. Her retirement is effective as of December 31, 2016.
