On December 8, 2017, Forest City Realty Trust, Inc. (the “Company”) filed a universal automatic shelf registration statement on Form S-3 (“S-3 ASR”) with the Securities and Exchange Commission (the “SEC”). The S-3 ASR becomes automatically effective upon filing with the SEC and remains effective for three years. The Company’s prior S-3 ASR was filed on December 9, 2014 (“2014 S-3 ASR”) and was set to expire, prompting the filing of the new S-3 ASR. The new S-3 ASR registered the same securities as registered on the 2014 S-3 ASR, including senior debt securities; senior subordinated debt securities; junior subordinated debt securities; preferred stock, par value $0.01 per share; depositary shares; Class A common stock, par value $0.01 per share; warrants to purchase any of the foregoing securities; and units to purchase any of the foregoing securities or any combination thereof.
