Item 2.05. Costs Associated With Exit or Disposal Activities.

Ford Motor Company Limited (“Ford of Britain”), a subsidiary of Ford Motor Company (the “Company”), announced today its plan of June 5, 2019 to exit the Ford Bridgend Engine Plant in South Wales. Subject to consultation with employees, Ford of Britain will cease production at the Bridgend plant during 2020. In connection with this announcement, the Company currently expects to record pre-tax special item charges of about $650 million. Approximately $400 million of the charges will be paid in cash and are primarily attributable to separation and termination payments for employees. Non-cash charges of approximately $250 million include pension expense and accelerated depreciation and amortization. Most of the pre-tax special item charges will be recorded in 2019 and most of the cash outflows will occur in 2020.
