On December 14, 2016, Famous Dave’s of America, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original 8-K”) to report that the Company’s Board of Directors (the “Board”) had elected Charles W. Mooty to serve as a director of the Company to fill a vacancy on the Board, effective December 8, 2016.
This Current Report on Form 8-K/A is being filed as amendment to the Original 8-K. The sole purpose of this amendment is to disclose that effective as of the Company’s 2017 Annual Meeting of Shareholders held on May 2, 2017, Mr. Mooty was appointed to the Company’s Audit Committee, Compensation Committee and Corporate Governance and Nominating Committee. Except as otherwise provided herein, no modifications have been made to the information contained in the Original 8-K.
