On October 25, 2016, F.N.B. Corporation (the “Corporation”) filed a Form 8-K reporting that Scott Custer had been elected director to the Boards of Directors of the Corporation and its wholly-owned subsidiary, First National Bank of Pennsylvania (“FNBPA”), subject to and effective upon completion of the merger between the Corporation and Yadkin Financial Corporation and the merger between FNBPA and Yadkin Bank, respectively.

The Corporation is filing this Form 8-K/A to report that Mr. Custer’s term as director commenced on March 11, 2017, and that Mr. Custer has been appointed to the Credit Risk and CRA Committee of the Board of Directors of FNBPA.
