On November21, 2017, Eldorado Resorts, Inc. (the “Company”) terminated the equity purchase agreement, dated as of August22, 2016 (the “Agreement”), to which it agreed to sell the Isle of Capri Casino Hotel in Lake Charles, Louisiana, to Kicks Entertainment, LLC, a company indirectly owned equally by Laguna Development Corporation and Eagle Holdings, LLLP (“Buyer”).
The closing of the transaction was subject to certain closing conditions, including obtaining certain gaming approvals, and was to occur on or before the termination date, which had been extended by the parties to November20, 2017.
Buyer did not obtain the required gaming approvals prior to the termination date, and to the terms of the Agreement, the Company has retained Buyer’s $20.0million deposit.
Buyer agreed to the termination and its terms.
