The Board of Directors of Eagle Bulk Shipping, Inc., a Republic of the Marshall Islands corporation (the “Company”), has determined, for logistical reasons, to move the 2018 Annual Meeting of Shareholders (the “2018 Annual Meeting”) from the previously announced date of May 10, 2018 to June 8, 2018. The time and location of the 2018 Annual Meeting will be set forth in the Company’s proxy statement for the 2018 Annual Meeting.
For a shareholder proposal, including a proposal for the nomination of directors, to be considered for inclusion in the Company’s proxy statement for the 2018 Annual Meeting to Rule 14a-8 of the Securities Exchange Act of 1934, as amended, the Secretary of the Company must receive the written proposal no later than April 9, 2018.
For a shareholder who wishes to nominate a director or present a proposal at the 2018 Annual Meeting, but does not intend for the nomination or proposal to be included in the Company’s proxy statement for the 2018 Annual Meeting, the Secretary of the Company must receive advance notice of such proposal in accordance with the requirements set forth in the Company’s Second Amended and Restated By-laws and no later than April 9, 2018.
