Stockholders. The Stockholders approved the proposal listed
below.The final results for the vote regarding the proposal are
set forth below. The proposal is described in detail in the
Companys proxy statement filed with the Securities and Exchange
Commission on November 4, 2016.
1.To approve, on a non-binding, advisory basis, the compensation
of our Named Executive Officers.
