(the "Company") issued a press release announcing information regarding its results of operations and financial condition for the quarter and nine months ended September 30, 2017, and announcing a cash dividend for the quarter ended September 30, 2017, the text of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

On October 31, 2017, John J. Lipinski delivered notice to the Company that he will retire effective December 31, 2017. Mr. Lipinski serves as Chief Executive Officer and President of the Company, Chief Executive Officer and President of the general partner of CVR Refining, LP and Executive Chairman of the general partner of CVR Partners, LP. Mr. Lipinski is a named executive officer of the Company, CVR Refining, LP and CVR Partners, LP and also serves on the board of directors of the Company and each of the general partners of CVR Refining, LP and CVR Partners, LP.

On November 1, 2017, the Company announced that John J. Lipinski will retire effective December 31, 2017 and that he will be succeeded by David Lamp in the role of co-Chief Executive Officer on December 1, 2017 and as Chief Executive Officer on January 1, 2018. A copy of the announcement is attached hereto as Exhibit 99.2 and is incorporated herein by reference.

CVR Energy, Inc. (CVR Energy) is a holding company. The Company engages in the petroleum refining and nitrogen fertilizer manufacturing through its holdings in CVR Refining LP (CVR Refining or the Refining Partnership) and CVR Partners LP (CVR Partners or the Nitrogen Fertilizer Partnership). It operates under two business segments: petroleum (the petroleum and related businesses operated by the Refining Partnership) and nitrogen fertilizer (the nitrogen fertilizer business operated by the Nitrogen Fertilizer Partnership). The Company’s Refining Partnership is an independent petroleum refiner and marketer of transportation fuels. Its Nitrogen Fertilizer Partnership produces and markets nitrogen fertilizers in the form of urea and ammonium nitrate (UAN) and ammonia. The petroleum business consists of a coking medium-sour crude oil refinery in Coffeyville, Kansas and a crude oil refinery in Wynnewood, Oklahoma. The nitrogen fertilizer business consists of UAN and ammonia products.
