On November 16, 2016, Crown Crafts, Inc. (the Company) issued a
press release announcing its financial results for thesecond
quarter of fiscal year 2017, which ended October 2, 2016. A copy
of that press release is attached hereto as Exhibit 99.1.

Item 5.03. Amendments to Articles of Incorporation or Bylaws;
Change in Fiscal Year.
Effective November 15, 2016, the Board of Directors of the
Company amended and restated the Companys Bylaws (the Amended and
Restated Bylaws) to allow for the issuance of shares of stock of
the Company in either certificated or uncertificated, book-entry
form. The relevant provisions, including conforming changes, are
contained in revised Article VII of the Amended and Restated
Bylaws.
This description of the amendments to the Companys Bylaws is
qualified in its entirety by reference to the text of the Amended
and Restated Bylaws, which is attached hereto as Exhibit 3.3 and
incorporated herein by this reference.
