Item 5.02.

On June 25, 2019, CoreLogic, Inc. (the “Company”) issued a press release announcing that its Board of Directors (the “Board”) has expanded the size of the Board from eleven directors to twelve directors and appointed
J. Michael Shepherd to the Board, effective July 21, 2019. The full text of the press release is attached hereto as Exhibit 99.1. The Board has also appointed Mr. Shepherd to serve as a member of the Nominating and Corporate Governance Committee of the Board.
There are no arrangements or understandings between Mr. Shepherd and any other persons to which he was selected as a director, nor does not he have any direct or indirect material interest in any transaction required to be disclosed to Item 404(a) of Regulation S-K.
Mr. Shepherd will participate in the current director compensation arrangements applicable to non-employee directors as disclosed in the “Director Compensation” section of the Company’s definitive proxy statement filed with the Securities and Exchange Commission (the “SEC”) on March 19, 2019. The Company will also enter into an indemnification agreement with Mr. Shepherd in the form attached hereto as Exhibit 10.1.
