Item 8.01. Other Events.

On December 15, 2016, Core-Mark International (the “Company”)
issued a press release announcing that it has entered into a
three-year supply agreement (which may be extended for two
one-year periods by mutual agreement of the parties) with
Walmart. The Company expects to provide service to approximately
530 Walmart Neighborhood Markets and Supercenter stores in five
western states. A copy of the press release is attached hereto as
Exhibit 99.1 and is incorporated herein by reference.
