On October 31, 2018, the Registrant received the approval of the New Jersey Department of Banking and Insurance with respect to the proposed merger of Greater Hudson Bank, a New York state chartered commercial bank, with and into the Registrant’s wholly owned subsidiary, ConnectOne Bank, as detailed in the Registrant’s Current Report on Form 8-K filed with the SEC on July 12, 2018. The Registrant had previously received the approval of the FDIC, as noted in the Registrant’s Current Report on Form 8-K filed with the SEC on October 9, 2018. The transaction remains subject to the approval of Greater Hudson Bank’s shareholders.
