On February13, 2018, the Board of Directors of CNB Financial Corporation (the “Corporation”) accepted the resignation, effective as of February28, 2018, of Director James B. Ryan, which resignation was tendered as required by the age restriction contained in the Corporation’s By-laws. Mr.Ryan was first elected to serve on the Boards of Directors of the Corporation and CNB Bank in 1999. During his service as a director, Mr.Ryan provided the Corporation and CNB Bank with valuable insight into the markets it serves, and he was instrumental in the Corporation’s evaluation of the Buffalo, New York market that led to the formation of BankOnBuffalo, a division of CNB Bank, in 2016.
