Item 8.01 Other Events.

On February 13, 2017, each of CenturyLink, Inc. (“CenturyLink”) and Level 3 Communications, Inc. (“Level 3”) received a request for additional information (“second request”) from the Department of Justice (“DOJ”) in connection with CenturyLink’s pending acquisition of Level 3. The second request was issued under the notification requirements of the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (“HSR Act”).

The effect of the second request is to extend the waiting period imposed by the HSR Act until 30 days after CenturyLink and Level 3 have substantially complied with the request, unless that period is extended voluntarily by the parties or terminated sooner by the DOJ. CenturyLink and Level 3 intend to cooperate fully with the DOJ, are confident that regulatory approval will be obtained and expect to close the transaction in the third quarter of 2017.
