Item 8.01 Other Events.

Exhibits are filed herewith in connection with the issuance on
May 19, 2017 by Caterpillar Financial Services Corporation (the
Company) of $200,000,000 aggregate principal amount of its
Medium-Term Notes, Series H, Floating Rate Notes due 2020 (the
Notes) to the Companys previously filed Registration Statement on
Form S-3 (Registration No. 333-217029) (the Registration
Statement) and the related Prospectus dated March 30, 2017,
Prospectus Supplement dated May 8, 2017 and Pricing Supplement
dated May 16, 2017, relating to the Notes.
The Notes will constitute a further issuance of, and will be
consolidated with, the $300,000,000 aggregate principal amount of
Medium-Term Notes, Series H, Floating Rate Notes Due 2020 issued
by the Company on January 12, 2017 and, upon completion of the
offering of the Notes, the aggregate principal amount outstanding
of Medium-Term Notes, Series H, Floating Rate Notes Due 2020 will
be $500,000,000.
