Item 5.03 Amendments to Articles of Incorporation or Bylaws;
Change in Fiscal Year.
On March 16, 2017, the Board of Directors of CACI International
Inc (the Company) approved an amendment to the Companys By-laws
(the By-laws) to add a new Section 10 to Article VI of the
By-laws (the Amendment). The Amendment provides that, with
respect to any action arising after the effective date of the
Amendment, unless the Company consents in writing to the
selection of an alternative forum, the Court of Chancery of the
State of Delaware (or to the extent the Court of Chancery of the
State of Delaware does not have jurisdiction, the United States
District Court for the State of Delaware) will be the sole and
exclusive forum for (i) any derivative action or proceeding
brought on behalf of the Company, (ii) any action asserting a
claim of breach of a fiduciary duty owed by any director,
officer, stockholder or employee of the Company to the Company or
the Companys shareholders, (iii) any action asserting a claim
arising to any provision of the General Corporation Law of the
State of Delaware or the Companys Certificate of Incorporation or
the By-laws (as either may be amended from time to time), or (iv)
any action asserting a claim governed by the internal affairs
doctrine.
