The Companys Annual Meeting of Stockholders was held on May 24,
2017. Of the 9,688,451 shares outstanding and entitled to vote,
8,138,924 shares were present at the meeting in person or by
proxy. The matters considered and voted on by the Companys
stockholders at the Annual Meeting, and the results of the vote
on each such matter, were as follows:

Proposal 1: The election of three directors each to serve for a
three-year term.
