(e) At the annual meeting of stockholders of the Company held on
February 8, 2017 (the 2017 Annual Meeting), the Companys
stockholders approved the 2017 Employee Stock Purchase Plan. The
Board of Directors of the Company approved the 2017 Employee Stock
Purchase Plan on November 9, 2016, subject to stockholder approval.
The 2017 Plan is intended to replace our 1995 Employee Stock
Purchase Plan, as amended (the 1995 Plan), which will be terminated
at the expiration of the offering period in effect at the time of
the stockholder approval of the 2017 Plan. The 2017 Plan will allow
for the purchase by employees of up to 1,250,000 shares of Common
Stock. If any right granted under the 2017 Plan terminates without
having been exercised, the Common Stock not purchased under such
right will again become available for issuance under the 2017 Plan.

The Annual Meeting of the stockholders of Brooks Automation, Inc.
(the Company) was held on February 8, 2017. The stockholders
elected each of the Companys nominees for director; approved, by a
non-binding advisory vote, the overall compensation of the Companys
named executive officers; approved the 2017 Employee Stock Purchase
Plan; and, ratified the appointment of PricewaterhouseCoopers LLP
as the Companys independent registered accounting firm for the 2017
fiscal year. The proposals below are described in detail in the
Companys definitive proxy statement dated December 16, 2016. The
