Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 20, 2016, Halle J. Benett informed Banc of California, Inc. (the “Company”) and Banc of California, N.A., a wholly owned subsidiary of the Company (the “Bank”), of his decision not to stand for re-election as a director of the Company at the 2017 annual meeting of stockholders of the Company or as a director of the Bank at the 2017 annual meeting of the sole stockholder of the Bank. Mr. Benett will continue to serve as a director of the Company and the Bank, respectively, until the end of his current term at each such meeting. Mr. Benett indicated that his decision not to stand for re-election was for personal reasons, based upon his assessment of the demands of his business activities and employment.
