Babcock Wilcox Enterprises, Inc. (the “Company”) held its 2017
Annual Meeting of Stockholders on May 9, 2017. The final voting
results for the proposals submitted for a vote of stockholders at
the Annual Meeting are set forth below.

Proposal 1:

The stockholders elected Stephen G. Hanks and Anne R. Pramaggiore
as Class I directors of the Company, to serve until the 2019
Annual Meeting of the Stockholders. The voting results were as
follows:
