Item 8.01 Other Events.
On January 8, 2019, the Washington Utilities and Transportation Commission (WUTC) provided notice of its deemed denial by operation of law of the petition filed on December 17, 2018 by Avista Corporation (Avista Corp.) and Hydro One Limited (Hydro One) requesting the WUTC to reconsider its denial of approval for Hydro One’s acquisition of Avista Corp. The WUTC did not take action on the petition within the required 20 days of its filing so the petition was automatically denied under the state’s Administrative Procedure Act. In the same notice, the WUTC also denied the petition for a rehearing on the basis that it is moot. The companies are evaluating the appropriate course of action.
