Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 27, 2018, Sheila Duncan, Senior Vice President – Human Resources & Corporate Administration of Avangrid, Inc. (the “Corporation”), notified the Corporation that her international assignment from Scottish Power Ltd., a subsidiary of the Corporation’s majority shareholder Iberdrola, S.A., will conclude during the fourth quarter of 2018, and she will be returning to a position with the Iberdrola HR Group.
