Entry into a Material Definitive Agreement.

OnMarch 30, 2018, athenahealth, Inc. (the “Company”) entered into a First Amendment to Amended and Restated Credit Agreement (the “Amendment”), which modifies the Company’s Amended and Restated Credit Agreement, dated as of May 5, 2015, by and among the Company, Bank of America, N.A., as administrative agent, swingline lender and L/C issuer, and the other lenders party thereto (the “Credit Agreement”). The Amendment amends the Credit Agreement to, among other things, give effect to certain revenue recognition changes adopted by the Company as of January 1, 2018. In addition, the Amendment makes certain technical changes and administrative updates to the Credit Agreement.
