Item 8.01 Other Events.

On April 3, 2017, Applied Materials, Inc. (“Applied”) issued a notice to redeem all of its 7.125% Senior Notes due 2017 (the “Notes”), of which $200 million aggregate principal amount is outstanding.

The Notes will be redeemed in accordance with their terms on May 4, 2017 (the “Redemption Date”) at a price equal to the greater of (a) 50% of the principal amount of the Notes and (b) the sum of the present values of the remaining scheduled payments of principal and interest on the Notes discounted to the Redemption Date on a semi-annual basis at the treasury rate plus 15 basis points, plus any accrued interest.

Applied intends to use a portion of the net proceeds from the issuance of its senior unsecured notes on March 31, 2017 to fund the redemption of the Notes.
