Item 5.07 Submission of Matters to a Vote of Security Holders.

On July28, 2017, the Board of Directors of Ansys, Inc. (the “Company”) determined that the Company will hold a stockholder advisory vote on the compensation of the Company’s named executive officers annually until the next required vote on the frequency of stockholder votes on the compensation of the Company’s named executive officers as required to Section14A(a)(2) of the Securities and Exchange Act of 1934, as amended, and the rules and regulations promulgated thereunder. This determination is consistent with the vote of the Company’s stockholders on proposal 3 at the Company’s annual stockholder meeting held on May19, 2017 and with the recommendation of the Company to its stockholders in connection therewith.
