Submission of Matters to a Vote of Security Holders.

As previously reported in the Prior 8-K, which is incorporated herein by reference, at the Company’s 2017 Annual Meeting of Stockholders held on May23, 2017, the Company’s stockholders voted to approve conducting future stockholder say-on-pay votesonce every three years. In light of such vote, which was consistent with the recommendation of the Company’s Board of Directors (the “Board”), on August 2, 2017, the Company, with the support of the Board, decided to conduct future stockholder say-on-pay votes once every three years until the next required vote on the frequency of future stockholder say-on-pay votes, although an earlier vote on such frequency may be held at the Board’s discretion.
