Grigg, a member of the Board of Directors of the Company (the “Board”), of his decision to resign from the Board solely for health reasons, and not as a result of any disagreement with the Company on any matter, effective immediately. At the time of his resignation, Mr. Grigg was a member of the Audit Committee and the Executive Development and Compensation Committee.
