On May 7, 2017, John B. Vander Sande informed American Superconductor Corporation (the “Company”) that he will be retiring from the Board of Directors of the Company (the “Board”) when his current term as a director expires, and will therefore not be standing for re-election to the Board at the Company’s 2017 Annual Meeting of Stockholders.

Mr. Vander Sande advised the Company that his decision was not the result of any disagreement with the Company.
