Entry into a Material Definitive Agreement.

In connection with the adoption of the Section382 Tax Benefits Preservation Plan described in Item 1.01 above, the Board approved a Certificate of Designation, Preferences, and Rights of Series A Junior Participating Preferred Stock of Alaska Communications Systems Group, Inc.(the “Certificate of Designation”). The Company intends to file the Certificate of Designation with the Secretary of State of the State of Delaware on January9, 2018. The Form of Certificate of Designation is attached to this Current Report on Form 8-K as Exhibit 3.1 and is incorporated herein by reference.

Also, on January9, 2018, the Company issued a press release announcing that its Board had approved and adopted a Section382 Tax Benefits Preservation Plan, a copy of which is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
